Client and 10X REVENUE FRAMEWORK, with a business address at Tuinbouwweg 30, haarsteeg, Netherlands (“10X”), agree that once the client enters into the 10X Revenue Framework service the following terms and conditions apply for the performance of services as set forth in the statement of work (each, a “Statement of Work”) attached to and made part of the term and conditions, from time to time as Exhibits, on the following terms and conditions:
1. STATEMENT OF WORK.
10X REVENUE FRAMEWORK shall use reasonable efforts to supply Client with the business support services and one commission-based appointment setter as requested by Client to perform appointment setting activities. 10x Revenue framework will keep training the appointment setter to be better in the work the appointment setter does. However, the client needs to manage the appointment setter in order to get the results.
10X Revenue framework will help the client setup the whole system with facebook or linkedin accounts in order to reach the ideal client as much as possible. 10X revenue framework will also train the appointment setter and support the client in creating the flows in order to convert cold prospects into appointments.
Offer service where 10x revenue framework together with the client checks the offer and everything that belongs to it. This is to make sure the offer is solid and is the best it can get in order to maximize conversions via chat and in the sales call. The client will also get training and tasks in order to maximize the value of the offer.
Sales process training and checkups. 10x Revenue framework makes sure the sales process is in line with the appointment-setting strategy. The Client receives training on how to optimize the sales process, and 10X Revenue Framework checks the tasks done by the client to make sure it’s optimized properly.
The term of this Agreement will be executed by 10X REVENUE FRAMEWORK at the date the client did the first payment. 10X is responsible for the appointment setter(s), appointment setter training and training for the client in order to optimize the offer, the sales process and setup the outbound systems. 10X is responsible for checking these parts together with the client.
The client agrees to a payment as agreed in the sales conversation as a fee for the whole system, the trained appointment setter, and support/coaching.
The company agrees that all information received from Client in the course of Services will remain confidential, except when disclosure to a third party is compelled by law or deemed necessary by Company to avoid harm to Client or others.
5. ELECTRONIC COMMUNICATION.
Client acknowledges that 10X REVENUE FRAMEWORK communicates with its clients, partners, vendors, employees, agents, affiliates and appointment setters electronically. Client agrees and consents to receive electronically all invoices, communications, agreements, documents, notices, policies, annual disclosures, transaction receipts, invoices, account statements and history, or any other document or correspondence (collectively “Communications”) that 10X REVENUE FRAMEWORK provides in connection with services provided, billings or Accounts.
Client by signing this agreement consents that all communication with 10X REVENUE FRAMEWORK representatives or employees may be monitored or recorded by 10X REVENUE FRAMEWORK. 10X REVENUE FRAMEWORK may use the said recordings for purposes of marketing, training, collection of debts and any business purpose 10X REVENUE FRAMEWORK determines. These communications include written, spoken, video and SMS communications.
7. LIMITATION OF LIABILITY.
10X REVENUE FRAMEWORK makes no express or implied warranty, including, but not limited to, any warranty of quality, performance, merchantability of fitness for any purpose, with respect to any services performed or any goods, including, but not limited to, processes, procedures, or other proprietary property developed hereunder. In no event shall 10X REVENUE FRAMEWORK be liable to Client or any other party for any damages, expenses, liabilities, fees, obligations, or losses (“Losses”) arising out of this Agreement whatsoever, or the services provided hereunder, whether for work performed, goods or services developed, or otherwise, which are in the aggregate in excess of the applicable amount of fees actually paid to 10X REVENUE FRAMEWORK by Client with respect to the assignment resulting in such Loss. In no event shall 10X REVENUE FRAMEWORK be liable to Client or any party for any incidental, indirect, or consequential Loss (including, but not limited to, lost profits, business interruption or lost data) arising from or related to any services performed or goods developed pursuant to this Agreement. All claims must be delivered in writing to 10X REVENUE FRAMEWORK within 30 days after the termination of the applicable appointment setter assignment with Client or they are expressly waived.
Client and 10X REVENUE FRAMEWORK agree that any dispute arising under the terms and conditions of this Agreement or concerning the respective rights or obligations hereunder of the parties shall be settled and determined by arbitration before the Dutch Arbitration Association located in Rotterdam, Netherlands, in accordance with its rules for commercial disputes. The arbitrators shall have the power to award specific performance or injunctive relief. However, in any arbitration proceeding arising under this Agreement, the arbitration shall not have the power to change, modify or alter any express condition, term or provision of this Agreement, and to that extent, the scope of their authority is limited. The arbitration award shall be final and binding upon the parties and the judgment thereon may be entered in any court having jurisdiction thereof.
9. Jurisdiction and Venue.
This Agreement shall be governed by, and construed under, the laws of the . Jurisdiction and venue for all purposes shall be in Rotterdam, Netherlands.
During the time of this agreement and for a period of 12 months after this agreement, the client will not directly or indirectly, in any manner whatsoever, offer services that have to do with outbound marketing to other businesses or consumers. This means that the tactics regarding outbound marketing (outbound on facebook, linkedin, sms, email, imessage, or another form of outbound marketin we teach) will not be sold or offered to any other party in the world. Besides that, the client agrees that the information inside our program will not be publicly available during te time of the agreement and 12 months after. This means the client is not allowed to teach outbound marketing to other people or offer services that have to do with outbound marketing.
Violations of this term means the client should pay 10X revenue framework $10,000 and for every week the information is publicly available, the client should pay 10,000. This also means a violation in offering outbound marketing services to any other company or person. If this is the case, the same rates apply.
11. Partial Invalidity.
If any provision of this Agreement is held by a Court of competent jurisdiction to be invalid, void, or unenforceable the remaining provisions will continue in full force and effect without being impaired or invalidated in any way.
- Offer training where 10x revenue framework together with the client checks the offer and everything that belongs to it. This is to make sure the offer is solid and is the best it can get in order to maximize conversions via chat and in the sales call.
- Sales process training and checkups. 10x Revenue framework makes sure the sales process is in line with the appointment-setting strategy by providing training. This makes sure the client completely understands high ticket sales and converts the appointments into clients.
- 1 or 2x trained appointment setter
- Explanations, resources, and suppliers in order for the client to easily set up the initial social media outbound accounts.
- Ongoing coaching for at least 6 months to optimize the sales process and appointment system
Pricing and Term Addendum
The client agrees to a payment agreed upon in the sales conversation as a fee for the whole system, the trained appointment setter, and support/coaching.
First guarantee: 10x Revenue Framework guarantees that the client will get a Return on investment within a maximum of 4.5 months of the setup being fully active.
Fully active means that all accounts that are required are active and sending the maximum amount of messages daily (40 per account per day). Active also means that the system is optimized every one and a half weeks
If 10X Revenue Framework together with the client doesn’t get a return on investment within the timeframe of the setup being active, 10x Revenue framework will give extra help, support, and direction in order to give the guidance and support to make it work.
If the client and 10x revenue framework gave a good effort in order to fix the issue and it can’t be fixed. Then 10x Revenue will refund the amount to the client.
Condition to the first guarantee: the 4.5 months of the system being fully active should be in the 6-month consulting period so we can support and guide the client.
Second guarantee: We guarantee that you will get at least 20 appointments minimum a month or 5k a month minimum from this system, or we will help you out and jump in with the whole team in order to get it working. So, we will help you out until it will 100% generate at least 20 appointments a month or 5k every month.
We can’t give these guarantees without any conditions because certain things are out of our control and are the client’s responsibility. Because of this, we have a few conditions to make sure the client will also commit and put in some effort.
Conditions of the guarantee:
- Attend all 1-1 support calls in order to make sure that the offer is good, the sales process is good, and to understand the system.
- Attend at least 60% of the group calls
- Make sure to follow our roadmap and have your initial system setup (phase 1) done after 5 working days, your final offer/sales process (phase 2) done after 13 working days, and the final system implementation (phase 3) after 21 working days. These are working days after the start of the roadmap call and so the beginning of the agreement.
- Meet with your appointment setter daily and make sure to pay the commission
- Send us the weekly metrics, follow instructions, and make sure data is tracked
- Follow the show-up/trust flow tips to ensure prospects show up and are warm.
- Test something new every 1.5 weeks aligned with what we advise to test
- Ask us questions so we can help you out and implement the things we advice
- The 4.5 months of the system being fully active should be in the 6-month consulting period so we can support and guide the client.
Conditions for the first guarantee:
The client needs to show up to the appointments and sell them to get a 10% conversion rate minimum.
If conditions are not met, then the client is not eligible for the guarantee. Evidence in form of metrics and screenshots is required if the client wants to have a refund.
Term of Sale – You hereby ratify your understanding that all program sales are only refundable if they meet the above-stated criteria and waive any rights to charge back your purchase with your credit card processor.
These things ensure that the client also puts in some effort to make it work.
